TERMS of SERVICE
Effective Date: 5/1/2026
1. Nature of Services
LOADPRO provides dispatch coordination services only and does not operate as a motor carrier or assume control of freight.
2. Carrier Responsibility
Carriers operate under their own authority and are solely responsible for all transportation decisions, compliance, and operations.
3. No Guarantee of Revenue or Loads
LOADPRO does not guarantee load availability, revenue levels, or operational outcomes.
4. Non-Circumvention
Carrier agrees not to directly or indirectly solicit, engage, or conduct business with any broker, shipper, or customer introduced by LOADPRO during the term of service and for a period of twelve (12) months following the termination of services.
Any violation of this provision shall constitute a material breach and may result in damages, including but not limited to lost revenue, enforcement costs, and legal fees.
5. Payment Enforcement
Carrier agrees that all dispatch service fees are earned upon performance of services by LOADPRO.
Failure to remit agreed fees may result in:
- Immediate suspension of services
- Collection actions
- Recovery of reasonable administrative and legal costs
Carrier acknowledges that LOADPRO may rely on rate confirmations and related documentation as evidence of services performed.
6. Limitation of Liability
LOADPRO is not liable for broker actions, load cancellations, delays, or financial losses.
7. Independent Contractor Relationship
No partnership, employment, or joint venture is created through use of services.
8. Termination
LOADPRO may terminate services at any time at its discretion.
9. Governing Law
These Terms shall be governed by the laws of the State of Tennessee.
10. Governing Agreement
These Terms of Service are intended to supplement, but not replace, any Dispatch Agreement or written contract entered into between the carrier and LOADPRO North America, LLC.
In the event of any conflict between these Terms and a signed Dispatch Agreement, the Dispatch Agreement shall control.
By submitting information through the onboarding process, you acknowledge that a formal Dispatch Agreement may be required prior to activation of services.
11. Broker & Customer Relationships
LOADPRO maintains business relationships and operational processes with brokers and customers. Carrier agrees not to interfere with or undermine these relationships.
Carrier further agrees that LOADPRO’s coordination efforts, communication handling, and operational support constitute valuable business services independent of load procurement.
12. Electronic Acceptance
Submission of information through the LOADPRO onboarding system, including acknowledgment of these Terms and the Privacy Policy, constitutes electronic acceptance and agreement to these Terms.
Such acceptance shall be considered legally binding to the extent permitted by applicable law.
